Terms of Use
These Terms of Use ("Terms") govern access to and use of pstsource.com and the PST Source marketplace (the "Service"), operated by Power Signal Technologies LLC, a Washington limited liability company ("PST Source," "we," "us"). By using the Service, submitting a listing, posting a request for quote, or requesting buyer contact, you agree to these Terms.
1What PST Source is
PST Source is a marketplace that connects suppliers of new and used IT hardware with business buyers. Depending on the transaction, PST Source may act as an introducer between a buyer and a supplier, as a broker that facilitates and protects a transaction through a third-party escrow service, or as the reselling counterparty (for example, on authorized Lenovo orders it fulfills directly). PST Source is compensated as counterparty or broker on completed transactions; it does not charge buyers a platform fee and does not charge suppliers a listing fee.
Where Power Signal Technologies LLC lists its own inventory as a supplier on the Service, it does so as a supplier and not as the operator, and the ordinary buyer-supplier terms of that transaction apply.
2Eligibility
The Service is for business use only. By using it you represent that you are at least 18 years old, are acting on behalf of a business entity, and have authority to bind that entity to these Terms. The Service is not intended for consumers or for personal, family, or household purchases.
3Listings and buyer requests
- Suppliers submit listings; PST Source reviews and may publish, edit for length, decline, or remove any listing at its discretion.
- Buyers may browse listings and post requests for quote ("RFQs") free of charge. PST Source reviews and may publish a redacted summary of an RFQ.
- Published listings display a PST-assigned supplier reference, not the supplier's company name. Published RFQs display category, quantity range, region, and date, not the buyer's identity.
- Listing content is supplied by suppliers. RFQ content is supplied by buyers. Each party is solely responsible for the accuracy of what it submits.
4How PST Source relays messages
PST Source relays the substance of inquiries as written, redacting only identifying details. We do not edit specifications, quantities, condition grades, or lead times. Price, however, is set by PST as broker or counterparty and includes PST's compensation, as described in Section 5. Where redaction is applied, it is limited to names, company names, addresses, phone numbers, and email addresses.
All communication between buyers and suppliers passes through PST Source until a transaction is underway. Attempting to embed contact details within listing text, RFQ text, or relayed messages in order to circumvent PST Source is a breach of these Terms and of the Supplier Terms.
5Fees and how PST Source is paid
- Buyers pay nothing. Browsing, posting RFQs, and requesting quotes are free, with no minimums and no platform fee.
- Joining and listing are free for suppliers. There is no membership fee and no subscription.
- On a matched transaction, PST Source is compensated as the reselling counterparty or as the broker of the transaction. This compensation is reflected in the transaction and is not a separate charge added to a buyer's order.
- Where PST Source facilitates payment, it may use a third-party payment processor or escrow service. Those services operate under their own terms, and any fees for them are disclosed as part of the transaction.
- PST Source does not guarantee that any transaction will result from an introduction or listing.
6Non-circumvention
Suppliers who list on the Service are additionally bound by the PST Source Supplier Terms, which contain the controlling non-circumvention and confidentiality obligations, including a twenty-four (24) month non-circumvention period following an introduction.
In the event of any conflict between these Terms and the Supplier Terms with respect to supplier obligations, the Supplier Terms govern.
A supplier accepts the Supplier Terms when submitting a listing or otherwise confirming agreement, as described on that page. Breach entitles PST Source to the compensation that would otherwise have been due on the circumvented transaction, plus reasonable costs of collection.
7No verification; no warranty
Listings are provided by suppliers. PST Source does not verify or warrant specifications, condition, availability, provenance, warranty status, or fitness for any purpose. PST Source does not inspect, test, or take possession of any hardware listed on the Service.
PST Source reviews listings for plausibility and may confirm that a supplier holds a business license and, where applicable, a reseller certificate or export documentation. Such review is not an endorsement, certification, or guarantee. Buyers are solely responsible for their own due diligence, including verifying specifications, condition, authenticity, export eligibility, and the supplier's ability to perform, before entering into any transaction.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8Prohibited conduct
You may not use the Service to:
- List counterfeit, stolen, gray-market, or otherwise unlawfully obtained hardware;
- List hardware you do not have the right to sell;
- Misrepresent condition, specifications, quantity, origin, or warranty status;
- Circumvent PST Source to avoid its role or compensation, as further described in the Supplier Terms;
- Scrape, harvest, or bulk-extract listings, RFQs, or reference identifiers;
- Violate any applicable export control, sanctions, customs, or trade law, including U.S. Export Administration Regulations and OFAC sanctions programs.
PST Source may suspend or terminate access, remove listings, and decline to issue or honor an invoice for any breach, without refund.
9Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PST SOURCE AND POWER SIGNAL TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY TRANSACTION BETWEEN A BUYER AND A SUPPLIER, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PST SOURCE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms excludes liability that cannot lawfully be excluded.
10Indemnification
You agree to indemnify and hold harmless Power Signal Technologies LLC, its members, officers, and agents, from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your listings, your RFQs, your transactions with other users, your breach of these Terms, or your violation of any law or third-party right.
11Disputes between buyers and suppliers
Except where PST Source is itself the reselling counterparty, PST Source is not a party to, and has no responsibility for, any dispute between a buyer and a supplier, including disputes over payment, delivery, condition, returns, or warranty. Where PST Source facilitates a transaction through a third-party escrow service, disputes are handled under that service's inspection and resolution process. Where PST Source is the reselling counterparty, the ordinary buyer-supplier terms of that transaction apply.
12Changes to these Terms
We may revise these Terms at any time by posting an updated version with a new effective date. Continued use of the Service after the effective date constitutes acceptance. Material changes will not apply retroactively to a transaction already in progress.
13Governing law and venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. Any action arising out of these Terms shall be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction there.
