Supplier Terms

These Supplier Terms ("Terms") govern the relationship between Power Signal Technologies LLC ("PST", "we", "us"), operator of PST Source (pstsource.com), and any business or person who lists products through PST Source ("Supplier", "you"). Please read them before you are added as a Supplier.

1Acceptance

You agree to these Terms when you do any of the following: submit a catalog or listing through PST Source; check the "I agree to the Supplier Terms" box on any PST form; or confirm your agreement in any written channel — including email, LinkedIn, WhatsApp, or another messaging platform — in response to a request that references these Terms (for example, by replying "I agree"). Any of these acts forms a binding agreement between you and PST. If you do not agree, do not list products through PST Source.

2Definitions

Buyer — any person or business that PST connects you with, or that inquires about your products, through PST Source.
Introduction — any instance where PST provides a Buyer with a quote, contact, or transaction involving your products, or provides you with a Buyer's identity or requirements.
Listing — a product entry displayed on PST Source under a PST Reference Code.
PST Reference Code — the masked identifier (e.g., "PST-S-0XX") under which your products appear publicly, in place of your name.

3Listing and masking

You grant PST a non-exclusive license to display and market your product information on PST Source under a PST Reference Code. PST controls the buyer-facing presentation, including the displayed price. Your identity is kept confidential and is not shown publicly; it may be disclosed to a Buyer only to the extent needed to complete a transaction (for example, a shipping address exchange during fulfillment). You are responsible for keeping your catalog and pricing accurate and current.

4Non-circumvention

This is a core term. For twenty-four (24) months following any Introduction, you agree not to circumvent PST by dealing directly or indirectly with a PST-introduced Buyer in a way that avoids PST's role or compensation. Specifically, you will not:

solicit, accept, or fulfill orders — including reorders — from a PST-introduced Buyer outside of PST, for the purpose of avoiding PST's commission;
use an affiliate, agent, related entity, or third party to do what you are prohibited from doing directly;
encourage a Buyer to transact off-platform.

If a transaction with a PST-introduced Buyer occurs in breach of this section, PST's commission remains due on that transaction.

5Confidentiality

You will keep confidential, and will not disclose to any third party, any Buyer information PST provides to you (including identity, contact details, and requirements), PST's buyer-facing pricing, and the amount or existence of PST's commission on any transaction. This obligation survives termination for the same 24-month period.

5APST compensation

PST earns compensation on transactions involving PST-introduced Buyers. Depending on the transaction, this may be structured as a broker commission within a protected (escrow) transaction, or as a margin between the price you agree with PST and the price PST agrees with the Buyer. You acknowledge that PST sets the buyer-facing price and that PST's compensation may be embedded in that price and kept confidential from the Buyer. You will receive the price you agree with PST for your goods.

6Accuracy, authenticity, and compliance

You represent and warrant that: your listings and product specifications are accurate; your products are genuine and not counterfeit or infringing; you have the right to sell them; and they meet applicable safety, certification, and legal requirements for sale. You are solely responsible for product quality, specifications, certifications, country-of-origin accuracy, warranty, and after-sale support. You will not supply counterfeit, brand-infringing, or misrepresented goods. You agree to indemnify and hold PST harmless from any claim, loss, or liability arising from your products, your representations, or your breach of these Terms.

7Approval, suspension, and removal

PST may, at its discretion, approve, decline, suspend, or remove any Supplier or Listing at any time — including placing an account on hold for breach of these Terms, non-payment of amounts owed to PST, quality or authenticity concerns, or misrepresentation.

8Independent parties

PST acts as an independent facilitator and marketplace operator. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship, and neither party may bind the other. PST does not guarantee any volume of Buyers, inquiries, or sales.

9Term and termination

Either party may end the listing relationship at any time by written notice. Sections 4 (Non-circumvention), 5 (Confidentiality), 5A (Compensation, as to transactions already introduced), and 6 (indemnity) survive termination for the periods stated or, where none is stated, as long as necessary to give them effect.

10Governing law

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Washington shall have jurisdiction over any dispute, and you consent to that jurisdiction.

11Changes

PST may update these Terms. The current version and effective date appear at the top of this page. Continuing to list products through PST Source after an update means you accept the updated Terms.

By listing products through PST Source, you confirm you have read, understood, and agree to these Supplier Terms.
